Terms and Conditions of Use

These Terms and Conditions of Use (“Terms”) constitute a binding agreement between you (“you,” “the User”) and EasySLD Inc., a corporation incorporated under the laws of the Province of Ontario, which operates the website located at mytinybean.com (“Tinybean,” “we,” “us,” or “our”), governing your access to and use of that website and all services made available thereon, including the registry, baby shower invitation, and checklist features (collectively, the “Service”).

By creating an account or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms in their entirety, you must not access or use the Service.

Your use of the Service is also governed by our Privacy Policy, available at https://mytinybean.com/privacypolicy, which explains how we collect, use, store, and disclose personal information, and which is incorporated into these Terms by reference.

Definitions

In these Terms:

  • “Guest” means any person who accesses a registry by means of a registry link, whether or not that person holds an account.
  • “Registry Link” means the shareable link generated by the Service permitting access to a User’s registry.
  • “User Content” means any content submitted to the Service by a User, including registry entries, invitation text, images, names, and notes.
  • “Collaborator” means a person invited by a User to access and manage that User’s registry or baby shower invitation on the User’s behalf.

1. Account Registration and Eligibility

  1. You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction of residence, to register an account.
  2. Accounts are provided at no charge and are registered using a valid email address. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You must notify us promptly upon becoming aware of any unauthorised access to or use of your account.
  3. You undertake to provide accurate, current, and complete information upon registration and to maintain the accuracy of such information. We reserve the right to refuse, suspend, or terminate any account containing inaccurate information or used in contravention of these Terms.
  4. Transactional communications. By creating an account, you agree to receive communications from Tinybean relating to your account, registry, invitations, and use of the Service, including confirmations, notifications, service announcements, and administrative messages. Such communications form part of the Service and are not marketing communications. Where we send commercial electronic messages, we will do so in accordance with applicable law and you may withdraw consent at any time.

2. Nature of the Service

  1. The Service is an organisational and informational tool that enables Users to compile product links, issue baby shower invitations, and maintain a checklist.
  2. Tinybean is not a retailer, merchant, or vendor. We do not sell, stock, distribute, ship, or process returns for any product. All purchases are effected on third-party websites, subject to the terms, payment processing arrangements, and customer service policies of those third parties. Tinybean is not a party to any transaction between a User or a Guest and any retailer.

3. The Registry

  1. Users may compile a registry by adding products from any retailer by means of a hyperlink, by linking to registries maintained on third-party platforms, and by selecting from the curated products identified by Tinybean.
  2. Users may generate and distribute a Registry Link permitting Guests to view the registry, purchase listed items from the applicable retailers, and mark such items as purchased.
  3. Collaborators. Users may invite another person, such as a partner, family member, or friend, to access and help manage their registry, their baby shower invitation, or both. Users are solely responsible for:
    1. deciding whom to invite as a Collaborator and what access to grant;
    2. obtaining that person’s consent before submitting their contact details to Tinybean;
    3. monitoring and reviewing Collaborator activity; and
    4. removing Collaborator access when it is no longer required, including upon a change in relationship or circumstances.

    A Collaborator may view, add, edit, and remove registry items and invitation details, may generate and distribute Registry Links, and may view Guest activity, including purchase markings and, where applicable, recipient information. Actions taken by a Collaborator are treated as actions taken under the User’s account, and the User remains responsible for them under these Terms. Tinybean does not adjudicate disputes between Users and Collaborators concerning access, content, or control of a registry or invitation. Collaborators must comply with these Terms in respect of their use of the Service.

  4. Registry Links and visibility. Registry Links are intended to be unlisted, and Tinybean does not intentionally publish registries or make them publicly searchable. However, any person in possession of a Registry Link may access the associated registry, and Tinybean exercises no control over the onward distribution of a Registry Link once shared, whether by forwarding, publication, or indexing by a third party. Users are solely responsible for determining with whom a Registry Link is shared.
  5. Product information. Prices, availability, product ratings, reviews, descriptions, specifications, images, and other information displayed through the Service are derived from third-party sources, including retailer feeds and affiliate interfaces, and may be inaccurate, incomplete, or out of date. Tinybean does not guarantee that any such information is accurate, complete, or current. Users and Guests should verify all such information on the retailer’s own website prior to purchase.
  6. Purchase tracking. The purchase-tracking function depends upon voluntary marking by Users and Guests. Tinybean makes no representation that any item has or has not been purchased, that an item marked as purchased was in fact purchased, or that duplicate purchases will be prevented.
  7. Curated and recommended products. Products described as “Top Rated,” “Most Popular,” “Editor’s Picks,” “Parent Loved,” or by any similar designation are selected using criteria determined by Tinybean in its sole discretion, which may include retailer ratings, expert reviews, popularity, editorial judgment, affiliate availability, or other factors. Such designations are suggestions only and do not constitute professional, medical, or safety advice, nor a warranty or representation that any product is safe, suitable, or fit for any particular child or purpose.
  8. Automated recommendations. Product selections and recommendations may be produced through editorial curation, automated or algorithmic processes, or a combination thereof, and are provided for informational purposes only. Users remain solely responsible for evaluating whether any product is appropriate for their needs and circumstances.
  9. Safety and recalls. Users are responsible for conducting their own research, reviewing manufacturer instructions, and verifying current safety recall notices prior to purchasing or using any product. Tinybean does not monitor product recalls and does not notify Users or Guests of any recall, safety notice, or product withdrawal.

4. Third-Party Websites, Products, and Services

  1. Sole responsibility of the User. The decision to use any retailer, product, or service accessed through the Service rests entirely with the User and is undertaken at the User’s sole risk and responsibility. Tinybean bears no responsibility whatsoever for any product or service obtained by a User or a Guest through the registry or any other part of the Service.
  2. Tinybean provides hyperlinks to third-party retailers and to registries hosted on external platforms. We neither own, operate, control, nor endorse such websites, and the presence of a link on the Service does not constitute a recommendation or endorsement of the linked site or its offerings.
  3. Third-party terms. Each external website is governed by its own terms and conditions, privacy policy, shipping terms, returns policy, and pricing. Users and Guests are responsible for reviewing and complying with those terms, which govern their relationship with the relevant third party and not with Tinybean.
  4. Without limiting the generality of the foregoing, Tinybean shall have no liability in respect of, and Users must address directly to the relevant retailer, any matter concerning:
    1. product quality, safety, defects, or recalls;
    2. pricing errors, stock discrepancies, or cancelled orders;
    3. delayed, damaged, lost, or undelivered goods;
    4. payment processing, refunds, and returns;
    5. customer service, warranties, and guarantees;
    6. the collection, use, or disclosure of personal information by such third party; and
    7. broken, redirected, or otherwise inaccurate hyperlinks.
  5. Tinybean has no authority to intervene in or resolve any dispute between a User or Guest and a third-party retailer.

5. Affiliate Arrangements

  1. Certain links displayed on the Service are affiliate links. Where a User or Guest completes a purchase by means of such a link, Tinybean may receive a commission from the relevant retailer. No additional cost is incurred by the purchaser as a result.
  2. Not every retailer link displayed on the Service is an affiliate link, and the presence or absence of an affiliate arrangement does not determine whether a product appears on the Service.
  3. Affiliate commissions support the provision of the Service at no charge to Users. Such commissions do not affect the price payable by the purchaser. Notwithstanding the foregoing, Users are advised to treat all product recommendations as a starting point for their own enquiries rather than as independent advice.
  4. The receipt of a commission does not constitute Tinybean as the seller of any product and does not render Tinybean responsible for any transaction. The provisions of Section 4 apply in full.

6. Baby Shower Invitations

  1. Users may create baby shower invitations and transmit them to selected recipients. Invitations incorporate a Registry Link.
  2. Recipient consent. By submitting the contact details of any third party for the purpose of transmitting an invitation, the User represents and warrants that they have obtained that person’s consent to be contacted for such purpose and that they are entitled to disclose those details to Tinybean. The invitation function must not be used to transmit marketing communications, bulk messages, or any unsolicited correspondence.
  3. Use of recipient information. Tinybean uses recipient contact information solely for the purpose of delivering invitations and related registry communications on behalf of the User, and does not sell recipient information or use it for unrelated marketing purposes, except as otherwise described in our Privacy Policy.
  4. Users are solely responsible for the accuracy of all information entered on an invitation, including dates, times, and addresses. Invitations are transmitted on a reasonable-efforts basis. Tinybean does not warrant that any invitation will be delivered, delivered in a timely manner, or will not be filtered as unsolicited mail. Users should confirm receipt directly with recipients where a response is material.
  5. Users acknowledge that invitations incorporate a Registry Link and that any recipient, and any person to whom a recipient forwards the invitation, will be able to access the registry.
  6. A Collaborator invited under Section 3.3 may create, edit, and transmit invitations on the User’s behalf, and the User remains responsible for all such invitations, including the representations and warranties in Section 6.2.

7. The Checklist

  1. The checklist is provided as general guidance concerning matters commonly addressed by expectant and new parents. It is not tailored to the circumstances of any individual User.
  2. The checklist does not constitute medical, legal, financial, or safety advice, nor does it purport to be an exhaustive account of the steps a User may be required or advised to take. Applicable requirements vary by country, region, healthcare provider, and individual circumstance. Users should consult a physician, midwife, or other appropriately qualified professional in respect of their own circumstances and verify the requirements applicable in their jurisdiction.

8. User Content

  1. Users retain ownership of all User Content submitted to the Service.
  2. By submitting User Content, the User grants Tinybean a limited, worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display such content solely for the purpose of operating and providing the Service, including displaying registries to Guests, transmitting invitations, and maintaining backups. This licence terminates upon deletion of the relevant content or the User’s account, save in respect of copies retained in secure backup systems for a limited period or where retention is required by law.
  3. Image processing. Tinybean may resize, compress, crop, reformat, or otherwise technically process uploaded images solely as necessary to operate and display the Service.
  4. Users represent and warrant that they hold all necessary rights in respect of User Content submitted and that such content does not infringe the rights of any third party.
  5. Removal of content. Tinybean may, in its sole discretion and without prior notice, remove or disable access to any User Content that it reasonably believes violates these Terms or applicable law, or that is the subject of a credible complaint. Tinybean has no obligation to monitor User Content and assumes no responsibility for doing so.
  6. Users are advised to exercise caution before including personal details concerning a child or family member in any registry or invitation intended for distribution by link.

9. Acceptable Use

Users, Collaborators, and Guests shall not:

  1. use the Service for any unlawful, fraudulent, deceptive, or harmful purpose;
  2. create a registry or invitation for the purpose of soliciting gifts or funds under false pretences;
  3. submit content that is abusive, hateful, obscene, defamatory, or infringing of third-party rights;
  4. impersonate any person or misrepresent an affiliation with any person or entity;
  5. transmit unsolicited or bulk communications by means of the invitation function;
  6. scrape, crawl, index, or harvest data from the Service, or circumvent any affiliate link;
  7. interfere with, overload, reverse engineer, or attempt to gain unauthorised access to the Service or its underlying systems; or
  8. resell, sublicense, or commercially exploit any part of the Service without our prior written consent.

10. Intellectual Property

  1. The Tinybean and MyTinyBean names, the logo, site design, software, and original editorial content are the property of EasySLD Inc. or its licensors and are protected by applicable intellectual property laws. Use of the Service confers no ownership rights in any of the foregoing. No part of our branding or content may be reproduced or reused without our prior written consent.
  2. Product names, images, and trademarks appearing on the Service remain the property of their respective owners.
  3. Infringement complaints. If you believe that material appearing on the Service infringes your copyright or other intellectual property rights, please contact us at contact@mytinybean.com with a description of the material, its location on the Service, your contact details, and a statement of the basis of your claim. We will review such notices and may remove or disable access to the material in question.

11. Disclaimer of Warranties and Availability

  1. The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Tinybean disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. Tinybean does not warrant that the Service will be uninterrupted, timely, secure, or error-free, that data will not be lost, or that information displayed on the Service is accurate, current, or complete.
  3. Continued availability. Tinybean does not guarantee that the Service will remain available indefinitely, or that any particular feature, product listing, or integration will continue to be offered.
  4. Errors. Tinybean reserves the right to correct any typographical, pricing, product, descriptive, or technical error appearing on the Service at any time and without prior notice.
  5. Security. Users acknowledge that no method of electronic transmission or storage is completely secure. While Tinybean employs reasonable measures to protect information, we cannot guarantee absolute security.
  6. Nothing in these Terms operates to exclude or limit any right conferred upon a User by applicable consumer protection legislation which may not lawfully be excluded or limited.

12. Limitation of Liability

  1. To the fullest extent permitted by applicable law, neither Tinybean nor its owners, directors, officers, employees, agents, or partners shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, loss of gifts, loss of profits, or loss of goodwill, arising out of or in connection with the use of or inability to use the Service, whether in contract, tort (including negligence), or otherwise.
  2. Without limiting Section 4, Tinybean shall have no liability for any loss or damage arising in connection with any product or service obtained by a User or a Guest by means of a link appearing on the Service, or in connection with the acts or omissions of any third-party website.
  3. Where liability may not lawfully be excluded, the aggregate liability of Tinybean to any User in respect of all claims shall not exceed the greater of (a) the total amount paid by that User to Tinybean in the twelve (12) months preceding the event giving rise to the claim, or (b) fifty Canadian dollars (CAD $50). Users acknowledge that accounts are provided at no charge and that the amount under limb (a) will ordinarily be nil.

13. Force Majeure

Tinybean shall not be liable for any delay in or failure of performance resulting from causes beyond its reasonable control, including without limitation internet or telecommunications failures, hosting or third-party service interruptions, power outages, natural disasters, epidemics, fire, flood, labour disputes, civil unrest, acts of war or terrorism, and acts or orders of any government or regulatory authority.

14. Indemnity

Users agree to indemnify, defend, and hold harmless Tinybean and its owners, directors, officers, employees, and agents from and against all claims, liabilities, losses, damages, and reasonable legal costs arising out of or in connection with the User’s use of the Service, the User’s Content, the User’s submission of third-party contact information, the acts or omissions of any Collaborator invited by the User, or any breach by the User of these Terms.

15. Suspension and Termination

  1. Users may delete their account at any time via account settings. Deletion removes the User’s registry, invitations, and checklist from the active Service, and renders all associated Registry Links inoperative.
  2. Following deletion, certain information may remain in secure backup systems for a limited period, or may be retained where retention is required by applicable law or is necessary to resolve disputes, prevent fraud, or enforce these Terms. Retention practices are described further in our Privacy Policy.
  3. Tinybean reserves the right to suspend or terminate any account which is in breach of these Terms or which we reasonably believe is being used for fraudulent or harmful purposes. Tinybean further reserves the right to discontinue the Service, in whole or in part, upon reasonable notice where such notice is practicable.
  4. Sections 8, 10, 11, 12, 13, 14, 17, and 18 survive termination of a User’s account.

16. Amendments

  1. Tinybean may amend these Terms from time to time to reflect changes to the Service or to applicable law. Where amendments are made, the date appearing at the head of these Terms will be updated, and Users will be notified by email or in-application notice where the amendment is material. Continued use of the Service following an amendment constitutes acceptance of the amended Terms.
  2. Tinybean reserves the right to add, modify, or remove features of the Service at any time.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of the Province of Ontario shall have exclusive jurisdiction in respect of any dispute arising out of or in connection with these Terms, save where applicable consumer protection legislation in a User’s country or province of residence confers a right to bring proceedings in that jurisdiction.

18. General Provisions

  1. These Terms, together with our Privacy Policy, constitute the entire agreement between the parties in respect of the subject matter hereof.
  2. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
  3. No failure or delay by Tinybean in exercising any right under these Terms shall operate as a waiver of that right.
  4. Users may not assign or transfer their rights under these Terms without our prior written consent. Tinybean may assign its rights and obligations in connection with a sale, merger, or reorganisation of its business.
